By engaging Magic Lead Agency ("Agency") for AI Caller Implementation and Ads Management services, you ("Client") agree to the following terms:
1. Scope of Services
Agency provides AI-driven automation, including but not limited to:
- Deployment of AI Voice Agents for inbound/outbound calls.
- Management of digital advertising campaigns.
- Integration of AI lead-capture systems into Client CRMs.
2. Compliance & Legal Responsibility (AI Calling)
The Client acknowledges that automated calling is strictly regulated.
- Consent: Client represents and warrants that all phone numbers provided to Agency have given express written consent to be contacted by automated means.
- Regulatory Adherence: Client is responsible for ensuring their use of AI Callers complies with the TCPA (Telephone Consumer Protection Act), TSR (Telemarketing Sales Rule), and local "Do Not Call" (DNC) registries.
- Prohibited Content: AI Callers may not be used for fraudulent, harassing, or deceptive purposes.
3. Client Responsibilities
- Ad Account Access: Client must provide necessary administrative access to ad platforms.
- Budget: Client is responsible for all third-party ad spend paid directly to platforms (e.g., Meta, Google).
- Accuracy: Client is responsible for reviewing the "scripts" or "knowledge bases" provided to the AI to ensure the information given to prospects is accurate.
4. Intellectual Property
- Agency IP: We retain all rights to our proprietary prompts, internal workflows, and custom AI architectures developed during the engagement.
- Client IP: Client retains all rights to their branding, customer data, and proprietary business information provided to the Agency.
5. Fees and Payment
- Service Fees: Payments are due as outlined in the Statement of Work (SOW).
- Late Payments: We reserve the right to pause AI caller hosting and ad management if accounts are more than 7 days past due.
6. Limitation of Liability
The Agency provides AI services "as-is." While we strive for 100% accuracy, AI can occasionally "hallucinate" or provide incorrect information.
- Agency is not liable for any damages resulting from AI-generated errors, accidental call volume spikes, or ad platform account suspensions.
- Client agrees to indemnify and hold Agency harmless from any legal claims arising from a breach of telemarketing laws (e.g., calling a lead without proper consent).
7. SMS program and use cases
- Clients can and/or will receive alerts, promotions and notifications to their provided phone number from the form (Either Step 4 or Appointment Booking).
- You must be 18 years of age or older to use this SMS service.
- To stop receiving messages, clients will reply STOP to any text message.
- Clients will reply HELP for assistance.
- Message and data rates may apply. Check with your carrier for details.
- Carriers are not liable for delayed or undelivered messages.
8. Termination
Either party may terminate the agreement with 7 days’ written notice. Upon termination, Agency will disable AI caller access and return/delete Client lead data upon request.
9. Governing Law
These terms shall be governed by the laws of Texas, United States and Australia.
